Terms of Service
Version v1.5-2026 · plain-English summary of the agreement that applies when you activate recovery.
By connecting your Stripe account, you are entering into a binding agreement with Bruce O'Toole, an individual doing business as Valkyrie, a sole proprietorship.
1. What Valkyrie does
Valkyrie connects to your Stripe account to identify failed payments, works out which ones are worth chasing, and, if you activate recovery, emails your affected customers asking them to update their card. When a customer adds a new card through our secure link, we save it as their default card and immediately use it to pay what they already owe you: the open invoice for the failed payment, and any other open invoices on their active subscriptions. Section 4 lists exactly what we read and change in your Stripe account.
That is the only situation in which we charge your customers: right after they give us a new card through a recovery link, and only for invoices that are already open and owed on your Stripe account. The customer is told this on the page where they enter the card. We never create new invoices or one-off charges, and we never charge an invoice you've written off or one that belongs to a canceled subscription. The money goes straight into your Stripe account, exactly as if your own Stripe billing had collected it.
2. Our fee: 25% of what we recover
If activated, we charge 25% of the amount of a payment that we recover, and nothing else. There is no setup fee, no monthly fee, and no charge for payments we don't recover.
"Recovered" means: a charge we flagged as worth chasing is later paid, for the same customer, with a different card than the one that originally failed, after we sent a recovery email. That includes both a payment we make right after the customer adds a new card through our link, and a later payment your own Stripe billing collects with that card. When the payment pays a Stripe invoice, we match it to that exact invoice, and each failed invoice can only ever count as one recovery, however many times Stripe retried it. We calculate the fee as 25% of that specific charge amount, in the currency it was charged in.
3. What counts as our recovery vs. Stripe's own retry
Stripe automatically retries many failed payments on its own, and often succeeds using the exact same card that failed the first time. We never bill for that. It's Stripe's own retry logic doing its job, not us. We call this "Stripe's own retry" on your dashboard, and it's excluded from anything we charge you for.
We only bill for a recovery when the successful charge used a different card than the one that originally failed, meaning the customer took an action (updating their card) that plausibly happened because of our outreach, not Stripe's automatic retry.
If the customer simply re-enters the same card that failed after a temporary decline (for example, insufficient funds), we treat that as a payment Stripe's own retries would likely have collected, and we don't bill for it. The exception is a hard decline that Stripe's retries can't fix, such as an expired card re-entered with its new expiry date: that does count as a recovery.
If a customer fixes their own payment method before we ever contact them, we log that as "recovered independently" and don't bill for it either. We only charge for outreach that we actually sent.
4. Our Stripe access: what we read, what we change, and what we never do
Valkyrie connects to your Stripe account via OAuth. Stripe's standard OAuth connection gives us read and write access - Stripe does not offer a narrower scope for this type of integration. Most of what we do is reading: your charges, customers, invoices, and subscriptions, to find failed payments and confirm recoveries.
We only make changes in your account when one of your customers adds a new card through a recovery link, and then only these: (1) we save that card as the customer's default payment method; (2) we save it as the default card on their active, past-due, or unpaid subscriptions, so an old card saved on the subscription doesn't override it; and (3) we use it to pay their open invoices, as described in Section 1. To let them add the card, we also create a Stripe Checkout session for them.
We never change prices, plans, or subscription terms; never create or cancel subscriptions; never create new invoices, one-off charges, or refunds; never view full card numbers; never initiate a transfer or payout; and never change your account settings.
Separately, our own 25% fee is billed to the payment method you provide during activation. It is never pulled from your Stripe balance.
You can revoke our access to your Stripe account at any time from your own Stripe Dashboard, under Settings → Connected applications.
5. The 7-day hold, and monthly billing
When we detect a recovery, we wait 7 days before it's eligible for billing. This gives time for refunds, disputes, or chargebacks on the recovered payment to surface before we bill you for it. If a recovered charge is refunded or disputed within that window, we don't bill it.
Your billing date is set the day you activate recovery, and stays fixed on that date every month after that - for example, if you activate on the 15th, you're invoiced on the 15th of every month going forward. In months shorter than your billing date (for a billing date of the 30th or 31st), you're invoiced on the last day of that month instead. We invoice once a month, on your billing date, covering every recovery that cleared its 7-day hold since your last invoice. You get one itemized invoice per cycle listing each recovery included, not a separate charge per recovery. If nothing is recovered in a given cycle, you're not charged that cycle.
6. Data retention and deletion
We retain the Stripe charge and customer data needed to run recovery (failed charge details, customer email, recovery status) for as long as your account is active, plus a limited period afterward for financial recordkeeping (billing history, agreement records).
If you cancel, you can request deletion of your data at any time by emailing us. We'll remove customer contact information and scan data, retaining only the minimum billing and agreement records required by law.
See our Privacy Policy for the full detail on what we collect and how to request deletion.
7. Cancelling
You can stop recovery at any time by revoking our access from your Stripe Dashboard (Settings → Connected applications). This immediately stops any further scanning or outreach. You remain responsible for the 25% fee on any recovery that was already confirmed at the time you cancel - once it clears its 7-day hold, it's included in our next monthly invoice the same as any other recovery. Nothing is billed for outreach or recoveries after your cancellation date.
8. Changes to these terms
If we materially change these terms, we'll notify activated merchants by email before the change takes effect. Continuing to use Valkyrie after that point means you accept the updated terms. Each merchant's acceptance is recorded with the version of these terms in effect at the time (currently v1.5-2026).
9. Limitation of liability
Valkyrie is a payment recovery service operated by Bruce O'Toole as a sole proprietorship. To the fullest extent permitted by law:
Valkyrie's total liability to you for any claim arising from your use of the service is limited to the total fees you have paid to Valkyrie in the three months preceding the claim.
In no event shall Valkyrie's total liability to you exceed the lesser of (a) the total fees you have paid to Valkyrie in the three months preceding the claim or (b) five hundred dollars ($500). Valkyrie expressly disclaims all liability for indirect, incidental, consequential, special, or punitive damages of any kind, including but not limited to lost revenue, lost profits, or business interruption, even if advised of the possibility of such damages.
Valkyrie is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost revenue, lost profits, or business interruption, even if Valkyrie has been advised of the possibility of such damages.
Valkyrie makes no guarantee that recovery emails will result in payment recovery, that any specific recovery rate will be achieved, or that the service will be uninterrupted or error-free.
Valkyrie is not responsible for any actions taken by your customers in response to recovery emails sent on your behalf, or for any disputes between you and your customers arising from the recovery process.
By activating recovery, you confirm that you have the legal right to authorize Valkyrie to contact your customers on your behalf regarding failed payments.
If you are located in a jurisdiction that does not allow the exclusion or limitation of liability, these limitations apply to the fullest extent permitted by applicable law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Bruce O'Toole, doing business as Valkyrie, from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the service, (b) your customers' responses to recovery emails sent on your behalf, (c) your violation of these terms, or (d) your violation of any applicable law or third-party rights.
11. Dispute Resolution
Before initiating any legal proceeding, you agree to contact Valkyrie at bruce@valkyriemrr.com and attempt to resolve the dispute informally for a period of 30 days. If the dispute cannot be resolved informally, it shall be resolved by binding arbitration rather than in court, except that either party may bring claims in small claims court if they qualify.
12. Governing Law
These terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. You agree to submit to the personal jurisdiction of the courts located in Texas for any disputes not subject to arbitration.
